Transaction Terms

1. Introduction

These Transaction Terms govern the transactions between coaches and coachees on the VeriCoach platform. These terms apply to all coaching package purchases and apply in addition to VeriCoach's Terms and Conditions and Privacy Policy.

2. Parties to the Transaction

Transactions are between the coach (seller) and the coachee (buyer). VeriCoach acts as a payment intermediary and platform provider but is not a party to coaching service agreements. VeriCoach does not guarantee service delivery between coaches and coachees.

3. Payment Terms

3.1 Pricing

Coaches set their own pricing for coaching packages within VeriCoach's parameters. All prices are displayed in EUR (€). All pricing is final and non-negotiable.

3.2 Payment Processing

All payments are processed through Stripe. By making a purchase, you authorize VeriCoach to:

  • Collect payment from your payment method
  • Share your payment information with Stripe
  • Process both one-time and recurring charges

3.3 Platform Fees

VeriCoach charges a 10% platform fee on all coaching package sales. This fee is:

  • Deducted from coach earnings
  • Automatically waived if the coach maintains an active platform subscription
  • Non-refundable

3.4 Coaching Subscriptions (Recurring Packages)

For recurring coaching packages:

  • Subscriptions automatically renew at the end of each billing period
  • You will be charged the agreed amount at the start of each renewal period
  • Subscription cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial billing periods
  • You will retain access to content through the end of your paid period

4. Connection Requests

4.1 Connecting with a Coach

To initiate a coaching relationship, coachees submit a connection request:

  • One (1) Connect is required to send a connection request
  • The Connect is immediately deducted upon request submission
  • The coachee completes a preference questionnaire
  • The coach reviews and can accept or reject the request
  • If rejected, the Connect is not refunded

4.2 Status of Connection Requests

Connection requests can be:

  • PENDING: Awaiting coach review
  • ACCEPTED: Coach accepted and coaching relationship established
  • REJECTED: Coach declined with reason provided

5. Cancellation and Refunds

5.1 VeriCoach Refund Policy

VeriCoach's policy is generally not to issue refunds for coaching packages or Connects. However, VeriCoach may, at its sole discretion, issue refunds in cases of:

  • Fraudulent or unauthorized transactions
  • Technical errors in payment processing
  • Violation of our policies by the coach
  • Other extraordinary circumstances at VeriCoach's discretion

5.2 Cancellation of Coaching Packages

To cancel a coaching subscription:

  • Log into your account and navigate to your memberships
  • Click “Cancel Subscription”
  • Or contact the coach directly or email support@vericoach.com

Upon cancellation, you retain access through the end of your paid billing period. No refund is provided for the partial period.

6. Service Delivery and Obligations

6.1 Coach Obligations

Coaches agree to:

  • Deliver coaching services as described in their package details
  • Maintain professional conduct in all interactions
  • Respect coachee confidentiality
  • Not engage in harmful, illegal, or unethical practices
  • Be responsive to coachee communications

6.2 Coachee Obligations

Coachees agree to:

  • Pay all agreed-upon fees in full and on time
  • Treat coaches with respect and professionalism
  • Prepare for and participate actively in coaching sessions
  • Respect coaching agreements and terms
  • Not engage in fraudulent payment behavior (chargebacks, etc.)

6.3 Limitations of Responsibility

VeriCoach is not responsible for:

  • Service quality or delivery by coaches
  • Results or outcomes from coaching services
  • Disputes between coaches and coachees
  • Coaching content accuracy or effectiveness
  • Unavailable coaches or missed sessions (unless due to platform error)

7. Chargebacks and Payment Disputes

You agree not to engage in fraudulent payment behavior, including:

  • Filing chargebacks for transactions you authorized
  • Disputing legitimate transactions without valid reason
  • Engaging in refund fraud

If you dispute a transaction, you authorize us to investigate and may result in:

  • Deduction of chargeback amounts and fees from coach earnings
  • Account suspension or termination
  • Legal action to recover losses

If you have a legitimate dispute with a coach, please contact us at support@vericoach.com before initiating a chargeback.

8. Coach Payouts

8.1 Payout Processing

Coach earnings are paid through Stripe Connect:

  • Earnings are calculated after deducting the platform fee (10%)
  • Payouts are processed to the coach's Stripe account
  • Payout frequency depends on Stripe's standard processing
  • Bank transfer fees may be charged by the coach's bank
  • All earnings are in EUR

8.2 Payout Hold and Verification

VeriCoach may hold earnings and withhold payouts if:

  • The coach has violated these Terms
  • There is a suspected fraudulent transaction
  • A chargeback or refund dispute is pending
  • KYC verification is incomplete
  • There is a legal hold or freeze on the account

8.3 Tax Responsibility

Coaches are solely responsible for:

  • Calculating and paying applicable taxes on earnings
  • Maintaining tax records and documentation
  • Complying with tax obligations in their jurisdiction

9. Dispute Resolution

If a dispute arises between a coach and coachee regarding a transaction:

  • The parties should attempt to resolve the matter directly through messaging or communication
  • If unresolved, contact support@vericoach.com with documentation of the dispute
  • VeriCoach will review and may mediate but is not obligated to resolve disputes
  • Disputes must be reported within 60 days of the transaction

VeriCoach is not a party to coaching service agreements and has no liability for disputes regarding service delivery or quality.

10. Content and Intellectual Property

10.1 Coach Content

Coaches retain ownership of coaching content (materials, videos, documents, etc.). By uploading content to VeriCoach, coaches grant:

  • Coachees a revocable license to access content for personal, non-commercial use
  • VeriCoach a license to store, display, and facilitate access

10.2 Use Restrictions

Coachees agree not to:

  • Copy or reproduce coaching content
  • Distribute content to third parties
  • Use content for commercial purposes
  • Modify or create derivative works

11. Automatic Renewal Notice

SUBSCRIPTION PAYMENTS AUTOMATICALLY RENEW FOR INDEFINITE SUCCESSIVE RENEWAL TERMS FOR THE SAME PERIOD AS THE INITIAL TERM, UNLESS CANCELED BY THE COACHEE OR VERICOACH.

IF A COACHEE WANTS TO STOP SUBSCRIBING TO A COACHING PACKAGE AND THEREFORE STOP PAYING CONTINUING SUBSCRIPTION CHARGES, THE COACHEE MUST CANCEL THEIR SUBSCRIPTION BY:

  • Clicking “Cancel Subscription” in the memberships section of account settings
  • Contacting the coach directly through the platform
  • Emailing support@vericoach.com

For free trial subscriptions, unless the coachee cancels before the trial ends, the coachee will be charged for the first time and will begin an automatically renewing paid subscription.
